TransPacific Purchasing PrepaidTel.com

VoIP processing software developer TransPacific Telecom has agreed to purchase the disfunct PrepaidTel.com from Prime Companies. Prime Companies discontinued operations of PrepaidTel in 2007. Shareholders will get 15 percent of the new company.

According to te companies:

The agreement with TransPacific Telecom, Inc., the developer of award winning VOIP processing software, allows TransPacific to make the necessary filings to take the merged company public. “This merger will enable TPT to become publicly traded, providing us the opportunity to utilize the capital markets and to raise the funds that will be used to make TPT a world renowned, elite telecommunications carrier of choice,” said Stephen Thomas, TPT CEO.

“Spinning off 15 percent of the merged company to our shareholders will be a significant dividend in the expected future growth of TransPacific Telecom,” said Norbert Lima, Chairman of Prime Companies’ Board of Directors. Mr. Lima, with 35 years experience in the telecommunications industry, will become President of TPT upon completion of the transaction.

Optenet has a new content security solution that includes a new bandwidth optimization function. The Optenet Bandwidth Management enables highly granular, real-time network traffic control.

Phase 1 Complete for New Bandwidth.com Deployment

The first phase implementation of Bandwidth.com’s new all-IP network has been completed by Sonus Networks. The Next-gen network deployment is intended to provide secure, advanced business communications services to small and medium businesses in the US.

Microsoft and Bandwidth.com Partner Up

Response Point customers can now take advantage of a strategic alliance between Response Point-manufacturer Microsoft and Bandwidth.com. Bandwidth offers SIP-based phone lines.

“Bandwidth.com’s advanced network capabilities and ubiquitous U.S. coverage will greatly expand the IP service options available to Response Point customers,” said Xuedong Huang, general manager of Microsoft Response Point. “Bandwidth.com’s exceptional quality standards, focus on small businesses and ability to deliver a complete IP-based solution will benefit our Response Point customers from coast to coast.”

The companies plan to layout more details at the SMB Nation 2008 conference in Seattle that begins on Oct. 3.

There Ads Are Just About Everywhere.

Earlier this week, Delta Airlines announced plans that will turn the boarding passes into advertising opportunities, or billboards, hawking destination specific businesses and products. An Omaha-based start-up, Sojern is behind this advertising offer, which is going to be adopted by four airlines in addition to Delta – American, Continental, United, and US Airways. Given that airlines are in such desperate position, mostly because of their incompetency, they are ready to try anything, however strange it might seem.

Now there is word that IDT Corporation, a calling card company is going to start using advertising messages on its pre-paid calling cards. Using technology from in-call advertising start-up VoodooVox, IDT will hawk marketing and advertising messages that are matched with their demographic profile. For instance, someone is calling Dominican Republic, an ad for airline would be piped in while the caller is waiting for his call to connect. IDT sells about 17.5 million pre-paid calling cards every month.

Given the razor thin margins in the long distance business, I am not surprised IDT is going down this path, but I wonder if they will use some of the fat CPMs from advertising to offer cheaper or near free long distance call. Now that would be cool, and perhaps somewhat receptive from the audience, who might get annoyed by ads intruding their calls.

These two examples make me ask the question: are we getting so saturated with ads that they will just become meaningless and lose their entire effectiveness?

Net2Phone and IDT sign a merger agreement

IDT Corporation and Net2Phone have signed a merger agreement under which IDT acquires Net2Phone. According to the terms and condition described in the agreement, NTOP Acquisition, a subsidiary of IDT would merge with and into Net2Phone and Net2Phone would continue as the surviving corporation. If the merger takes place, each issued and outstanding share of common stock and Class A common stock of Net2Phone would be cancelled and converted automatically into the right to receive $2.05 in cash without interest. It is the same price per share which was paid by IDT in its tender offer for Net2Phone common stock that expired after an offer period on January 27, 2006 in which IDT acquired 31.6 million Net2Phone shares. Following merger, Net2Phone would become a privately held, wholly owned subsidiary of IDT and the shares of Net2Phone common stock would seize to be quoted on the Nasdaq. Both the Net2Phone board of directors have unanimously approved the transaction following the recommendation of the Independent Committee of the Net2Phone board of directors and IDT board of directors.
